Amends 0203 (decision 1: a vendor billing product is not the system of record) by a Note. Figentra’s plans, prices, seats, regional tiers and discounts, which also amend 0203 and 0242, are Figentra OS ADRs, each linked from a Note on those ADRs.

Context

0203 put Figentra’s own billing on Stripe Billing. Stripe Billing was found unable to issue ZATCA or ETA invoices or charge mada and local wallets, and products need subscriptions for their own customers (Academorix fees, Juristra retainers, Commerce subscription products). The owner decided the billing and pricing rules in OS rounds 8 to 13 on 2026-10-25, and in round 22 that Stackra keeps only the mechanism (0259). The money hierarchy, hybrid pricing, plans, seats, regional price tiers, discounts, support tiers and audit visibility per plan are Figentra’s choices, recorded in Figentra OS ADRs 0020 to 0031.

Decision

  1. The Stackra licence. Stackra is sold to developers as the developer licence of 0202, issued and checked through Keygen (0178). It is the only commercial level Stackra itself owns; everything a product sells on top is the product’s.
  2. One billing engine, the seller a parameter (OS-59, OS-60). Subscriptions run on one engine whose seller is a parameter: the platform operator or a tenant. Plans, cycles, proration, dunning and invoice requests are the same for both. A due cycle emits an event that the product may turn into an order.
  3. Providers are drivers. Payment providers (Stripe, Moyasar, Paymob and others) are drivers behind @stackra/payments (0357). No vendor billing product is the system of record, and the engine never calls one.
  4. Built on Stackra’s primitives. The engine reads 0215 entitlements and 0216 meters, and billing events create, renew and revoke Keygen licences (0178 decision 3). A seat meter counts the principal kinds the product declares as seats.

Consequences

  • One engine issues every subscription invoice request, including the fiscal ones a vendor billing product could not.
  • Any product on Stackra can sell subscriptions to its own customers without a second engine.
  • Each product owns its own price list, seat definition and plan ladder; Stackra ships none.

Enforcement

planned — a dependency check that no vendor billing SDK (Stripe Billing, Chargebee and similar) is imported by the billing engine; the seller-as-parameter contract test in the engine; the seat meter reading the product’s declared seat kinds.

Supersedes and sources

Supersedes: none. Amends, by Note, 0203 decision 1. Reads with 0202, 0215, 0216 and 0243. Figentra’s choices are Figentra OS ADRs: the billing service and no revenue before it in 0020; the money hierarchy and hybrid pricing in 0021; OS sold alone in 0022; trials and plan changes in 0023; the cost model and changes at renewal in 0024; seats, devices and external users in 0025; overrides in 0026; packs and overage in 0027; AI and message credits in 0028; regional price tiers in 0029; discounts in 0030; payment methods, entities and tax in 0031; audit and support tiers in 0061 and 0062.
